These Terms of Use (“Terms”) govern your access to and use of the Astra Sage website, including all pages, content, forms, downloads, portals, tools, media, and related services made available through the website (collectively, the “Website”).
In these Terms, “Astra Sage,” “we,” “us,” and “our” means Astra Sage [Astra Sage Renewables Corporation], with principal office at Manila, Philippines.
By accessing, browsing, using, submitting information to, or otherwise interacting with the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Website.
1. Eligibility and Authority
You may use the Website only if you are legally capable of entering into binding agreements under applicable law.
If you use the Website on behalf of a company, partnership, organization, government body, or other entity, you represent and warrant that:
a. you are authorized to act for and bind that entity;
b. the entity agrees to these Terms; and
c. all information you submit through the Website is accurate, complete, and authorized.
2. Purpose of the Website
The Website is provided for general business, informational, operational, and communication purposes, including but not limited to:
a. presenting information about Astra Sage, its services, sustainability approach, and business activities;
b. allowing suppliers, customers, logistics partners, applicants, and other stakeholders to contact us;
c. providing access to forms, policies, guidance, documents, and informational materials;
d. supporting business inquiries relating to used cooking oil (“UCO”), collection, logistics, storage, testing, traceability, compliance, exports, and related services; and
e. advertising employment or collaboration opportunities.
The Website is not an open marketplace, public auction platform, or automatic acceptance portal for the sale, purchase, collection, transport, treatment, storage, or export of UCO or any other material.
3. No Contract Formation Through General Website Use
Unless Astra Sage expressly states otherwise in a written agreement signed or otherwise formally accepted by Astra Sage, use of the Website does not by itself create:
a. a purchase contract;
b. a supply agreement;
c. a collection commitment;
d. a transport or logistics contract;
e. a storage or treatment contract;
f. an employment contract; or
g. any exclusive business relationship.
Any request, inquiry, registration, contact form, upload, email subscription, supplier onboarding submission, sample submission, or similar communication made through the Website is only an expression of interest unless and until Astra Sage separately confirms acceptance in writing.
Astra Sage reserves the right to accept, reject, defer, or discontinue any inquiry, onboarding request, collection request, commercial discussion, or proposed transaction at its sole discretion and subject to internal review, due diligence, operational capacity, quality requirements, compliance requirements, and applicable law.
4. Accuracy of Information Submitted by Users
If you submit or upload any information through the Website, you represent and warrant that such information is:
a. true, accurate, current, and complete;
b. not misleading, fraudulent, or deceptive;
c. lawfully provided;
d. submitted with all necessary authority and consent; and
e. not in violation of any law, regulation, contract, confidentiality obligation, or third-party right.
Without limitation, any supplier, point of origin, restaurant, hotel, aggregator, transporter, agent, broker, or applicant using the Website must not misrepresent:
a. the origin of any material;
b. whether any material is UCO;
c. contamination, adulteration, dilution, or mixing;
d. volume, weight, quality, chain of custody, or sustainability attributes;
e. permit, license, registration, or accreditation status; or
f. ownership or authority to sell, transfer, or arrange handling of any material.
5. User Conduct and Prohibited Activities
You agree not to use the Website in any manner that is unlawful, abusive, fraudulent, harmful, disruptive, or inconsistent with Astra Sage’s legitimate business interests.
Without limiting the foregoing, you must not:
a. use the Website for any illegal purpose or in violation of any applicable law, regulation, permit condition, or third-party right;
b. submit false, inaccurate, deceptive, incomplete, or outdated information;
c. impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
d. use the Website to arrange, solicit, promote, conceal, or facilitate unlawful handling, transport, disposal, treatment, export, import, misclassification, or diversion of waste oils, used cooking oil, hazardous materials, or regulated materials;
e. use the Website to misrepresent waste oil, off-spec oil, contaminated oil, brown grease, non-UCO materials, or any ineligible material as compliant UCO;
f. upload, transmit, or distribute viruses, malicious code, spyware, ransomware, worms, Trojan horses, or other harmful material;
g. attempt to gain unauthorized access to the Website, server, hosting environment, databases, forms, admin panels, APIs, accounts, or networks connected to the Website;
h. interfere with, disable, overload, damage, or impair the Website or any user’s use of the Website;
i. reverse engineer, decompile, disassemble, scrape, data mine, index, mirror, copy, frame, or otherwise extract Website content, structure, metadata, code, or business information without Astra Sage’s prior written consent;
j. use bots, crawlers, scripts, automation tools, or similar means to harvest information from the Website without permission;
k. reproduce, republish, modify, distribute, publicly display, or exploit Website content for commercial purposes without authorization;
l. test the vulnerability of the Website or breach any security or authentication measures;
m. send spam, chain letters, junk mail, or unsolicited promotions through or in connection with the Website;
n. submit confidential information of a third party without authority;
o. use Astra Sage’s name, logo, brand, certifications, claims, documents, or materials in a misleading or unauthorized manner;
p. create the false impression that Astra Sage endorses, certifies, sponsors, approves, or is affiliated with you or your business; or
q. assist, encourage, or enable any third party to do any of the foregoing.
6. Accounts, Portals, and Access Credentials
If any part of the Website allows account creation, supplier portal access, application portal access, or restricted document access, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You must notify Astra Sage immediately of any unauthorized use of your account or any security breach.
Astra Sage may suspend, disable, or terminate any account at any time if we reasonably believe that:
a. the account has been compromised;
b. false or misleading information has been submitted;
c. the account is being used in violation of these Terms; or
d. continued access poses legal, security, operational, commercial, or reputational risk.
7. Intellectual Property Rights
All rights, title, and interest in and to the Website and its contents are owned by Astra Sage or its licensors and are protected by applicable intellectual property laws.
This includes, without limitation:
a. the Astra Sage name;
b. logos, word marks, taglines, and branding elements;
c. text, graphics, icons, designs, layouts, images, audio, video, and downloads;
d. reports, policies, guides, forms, manuals, checklists, databases, and templates;
e. software, source code, object code, scripts, features, and functionality; and
f. all compilations, arrangement, selection, and presentation of Website content.
Except for the limited right to access and use the Website for legitimate personal or internal business purposes in accordance with these Terms, no right, title, license, or interest is granted to you.
You must not use Astra Sage’s trademarks, service marks, trade names, branding, or copyrighted materials without Astra Sage’s prior written consent.
8. Limited License to Use the Website
Subject to these Terms, Astra Sage grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website solely for lawful purposes related to learning about Astra Sage, making legitimate inquiries, or engaging with Astra Sage in good faith.
This license may be revoked at any time.
9. User Submissions
Any information, inquiry, feedback, suggestion, application, document, record, image, form response, communication, or other content that you submit through the Website (“User Submissions”) remains your responsibility.
You represent and warrant that:
a. you own or control the necessary rights to the User Submissions;
b. Astra Sage’s receipt, review, storage, and internal use of the User Submissions will not violate any law or third-party rights; and
c. the User Submissions are not unlawful, defamatory, fraudulent, obscene, infringing, malicious, or misleading.
To the extent necessary for Astra Sage to operate the Website, respond to inquiries, evaluate business opportunities, assess applications, conduct due diligence, manage onboarding, and maintain records, you grant Astra Sage a non-exclusive, worldwide, royalty-free license to receive, store, reproduce, review, process, and use User Submissions for legitimate business and compliance purposes.
Astra Sage is not obligated to treat general Website submissions as confidential unless a separate written confidentiality agreement applies.
Do not submit trade secrets, highly sensitive confidential data, or regulated information through the Website unless Astra Sage has expressly requested it through an appropriate controlled process.
10. Business, Technical, and Regulatory Information Disclaimer
Information on the Website is provided for general informational purposes only.
While Astra Sage aims to present accurate and useful information, the Website may contain:
a. summaries;
b. general guidance;
c. indicative descriptions;

11. No Warranty on Availability, Accuracy, or Results
The Website is provided on an “as is,” “as available,” and “with all faults” basis, to the fullest extent permitted by law.
Astra Sage does not warrant that:
a. the Website will be uninterrupted, timely, secure, or error-free;
b. defects will be corrected;
c. the Website or servers are free from viruses or harmful components;
d. the Website content is complete, accurate, current, or suitable for your purposes; or
e. use of the Website will produce any particular business, technical, regulatory, or commercial outcome.
12. Third-Party Links and External Resources
The Website may contain links to third-party websites, documents, services, platforms, job boards, social media pages, logistics providers, laboratories, regulators, or reference materials.
Such links are provided for convenience only. Astra Sage does not control and is not responsible for:
a. the content, accuracy, availability, or security of third-party sites;
b. any products or services offered by third parties; or
c. any loss or damage arising from your use of third-party sites or services.
Your use of third-party websites is at your own risk and subject to their own terms and policies.
13. Careers and Recruitment Pages
Any job posting, internship posting, consultant opportunity, or recruitment content on the Website is for informational and recruitment purposes only.
Submission of an application does not guarantee:
a. review;
b. interview;
c. employment;
d. engagement; or
e. future consideration.
Astra Sage may modify, suspend, withdraw, or close any role at any time without notice.
Applicants must provide truthful, complete, and non-misleading information. Astra Sage may reject applications or discontinue recruitment processes where information is false, inconsistent, unverifiable, unauthorized, or unlawful.
14. Privacy and Data Protection
Your use of the Website may involve the collection and processing of personal information. Astra Sage’s handling of personal information is governed by its Privacy Policy, which forms an important part of your use of the Website.
By using the Website or submitting personal information through it, you acknowledge that:
a. Astra Sage may collect, use, store, and process your information for legitimate business, administrative, security, compliance, recruitment, customer service, supplier management, and operational purposes; and
b. such processing will be subject to Astra Sage’s Privacy Policy and applicable law.

You agree that Astra Sage may communicate with you electronically, including through email, Website notices, portal notifications, form confirmations, or other electronic means, where permitted by law.
You acknowledge that electronic communications, records, confirmations, and notices may be used for operational, contractual, evidentiary, compliance, and record-keeping purposes.
16. Monitoring and Enforcement
Astra Sage reserves the right, but not the obligation, to monitor use of the Website for security, integrity, compliance, operational, and legal purposes.
Astra Sage may investigate suspected misuse and may take any action it reasonably deems appropriate, including:
a. warning the user;
b. rejecting submissions;
c. removing content;
d. suspending or blocking access;
e. preserving records;
f. reporting suspected misconduct to relevant authorities; or
g. pursuing civil, criminal, injunctive, or other remedies.
17. Suspension and Termination
Astra Sage may, at any time and without prior notice, suspend, restrict, or terminate your access to all or part of the Website if:
a. you breach these Terms;
b. you provide false, fraudulent, or misleading information;
c. Astra Sage believes your use creates legal, regulatory, cybersecurity, operational, reputational, or commercial risk;
d. Astra Sage is required to do so by law, court order, regulator, or governmental authority; or
e. Astra Sage decides to modify, suspend, or discontinue the Website or any part of it.
Termination or suspension does not limit any other rights or remedies Astra Sage may have.
18. Indemnity
You agree to defend, indemnify, and hold harmless Astra Sage, its affiliates, shareholders, directors, officers, employees, representatives, contractors, agents, successors, and assigns from and against any claims, demands, actions, damages, losses, liabilities, penalties, fines, judgments, settlements, costs, and expenses, including reasonable legal fees, arising out of or relating to:
a. your use or misuse of the Website;
b. your breach of these Terms;
c. your User Submissions;
d. your violation of any law, regulation, permit condition, or third-party right; or
e. your fraudulent, deceptive, unauthorized, or unlawful conduct.
19. Limitation of Liability
To the fullest extent permitted by applicable law, Astra Sage and its affiliates, officers, employees, contractors, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or economic damages, including loss of profit, loss of revenue, loss of data, loss of business opportunity, business interruption, reputational harm, or procurement of substitute services, arising out of or in connection with:
a. your use of or inability to use the Website;
b. errors, omissions, interruptions, or delays in Website operation;
c. reliance on Website content;
d. unauthorized access to or alteration of transmissions or data;
e. third-party links, services, or conduct; or
f. any malware, cyberattack, service outage, or systems failure.
To the extent liability cannot be fully excluded, Astra Sage’s aggregate liability arising out of or relating to the Website shall be limited to the amount, if any, paid by you directly to Astra Sage solely for access to the Website in the twelve (12) months preceding the event giving rise to the claim. If you have paid no such amount, Astra Sage’s maximum aggregate liability shall be the minimum amount permitted under applicable law.
20. Force Majeure
Astra Sage shall not be liable for any delay, interruption, failure, or unavailability of the Website resulting from causes beyond its reasonable control, including acts of God, flood, fire, pandemic, epidemic, labor disruption, power failure, telecommunications failure, cyber incidents, denial-of-service attacks, governmental action, war, civil disturbance, or failure of third-party hosting or internet services.
21. Changes to the Website and These Terms
Astra Sage may modify, update, suspend, or discontinue the Website or any part of it at any time without notice.
Astra Sage may also revise these Terms from time to time. The updated version will be posted on the Website with a revised “Last Updated” date. Your continued use of the Website after any update constitutes your acceptance of the revised Terms.
22. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
23. Waiver
No failure or delay by Astra Sage in exercising any right, remedy, or provision under these Terms shall constitute a waiver of that right, remedy, or provision.
24. Entire Agreement
These Terms, together with Astra Sage’s Privacy Policy and any other Website policies expressly incorporated by reference, constitute the entire agreement between you and Astra Sage regarding your use of the Website.
Where a separate written agreement exists between you and Astra Sage, that separate agreement shall govern to the extent of any inconsistency with these Terms for the subject matter covered by that agreement.
25. Governing Law and Dispute Resolution
These Terms and any dispute, claim, or controversy arising out of or relating to the Website or these Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.
Any dispute that cannot be resolved amicably shall be submitted to the competent courts of the Philippines, and you hereby submit to the jurisdiction of such courts.
